Margaret Sullivan
Margaret spent twelve years as a corporate associate and counsel at mid-market Boston law firms, focused on M&A transactions — buy-side and sell-side — and commercial contracting for technology, manufacturing, and financial services clients. She was the person on the deal team who owned the contract diligence: not the negotiation of the definitive agreement, but the VDR sweep. The work of going through the target's vendor stack, IP licenses, and employment agreements to surface what the headline deal terms didn't show.
The moment that stuck was not a single deal. It was the pattern. She watched the same compressed-window problem repeat itself across transactions of every size: 200 documents, 5 days, a paralegal team applying inconsistent search standards, and an associate reviewing their output on day four. Not every change-of-control provision got found. Not every indemnity cap got assessed against the deal structure. The risk wasn't negligence — it was the mathematics of throughput.
She left practice in early 2025 to build the tool she'd wanted on every deal. Not to replace the attorney's judgment — she has too much respect for what experienced deal counsel actually does — but to handle the clause-spotting work that occupied the first 70% of review time: finding every change-of-control provision, every indemnity cap, every assignment restriction, and placing them precisely for the lawyer who makes the call.
Clauseflint launched in October 2025. It is not pursuing the AmLaw 50. The clients Margaret is building for are mid-market boutiques and corporate development teams at operating companies — legal professionals who do M&A regularly and need a review partner that works at their pace, not at enterprise software terms.
